The RD-Reports.com domain and sub-domains are operated by Science-Metrix Inc., an organization that specializes in science and technology (S&T) and research and development (R&D) evaluation and measurement. Science-Metrix is the only operator of this website. For the purpose of these Terms of Use, references to RD-Reports.com and to R&D Reports™ are meant to include Science-Metrix Inc. as well. RD-Reports.com provide website features to you subject to the following conditions. Please read them carefully.

By accessing and using any or all of the products, services, newsletters, research results, charts, Inter websites and web pages including but not limited to, hereinafter referred to as the "website", owned and operated by Science-Metrix Inc., you agree to be bound by these terms of use, conditions and disclaimer ("Terms of Use") and all applicable laws and regulations. If you do not agree with any part of these Terms of Use, you must discontinue any use of the website. R&D Reports assumes no responsibility or liability for any damages you or any third party may suffer as a result of the receipt, storage, transmission or other use of personal or confidential information provided by you to R&D Reports, or for any errors or any changes made to any transmitted information.

R&D Reports may disclose to Users through this website information that is confidential, proprietary or otherwise not generally available to the public. You agree that you shall treat such information as confidential and neither disclose nor copy, reproduce, republish, uploaded, post, transmit, or distribute such information in any way. Collection and Use of Information about You

R&D Reports may monitor your use of the website and collect, store, use and disclose information about you in certain situations. Specific details with respect to our collection, storage, use and disclosure of user information are set forth in the website Privacy Policy.

Unless specifically requested, R&D Reports does not solicit nor does it wish to receive any confidential, secret or proprietary information or other material from users through the website, by email or in any other way. When requested, you acknowledge and agree that you are solely responsible for the accuracy and content of the user information provided. You acknowledge that R&D Reports may use any ideas, concepts or other similar materials that you submit through the website.

We do not knowingly collect any information from minors. If you are under 18, please do not provide any personal information to us.

Customer Service

When requesting customer service following the sale of a product, we ask that our clients provide us with the following: their username (which is an active email address), the name of the purchased product, the date of the transaction or the transaction number. Should a client refuse to provide the above information, R&D Reports reserves the right to decline any provision of support. R&D Reports is not responsible for any email that does not reach our support staff, whatever the reason may be.

R&D Reports' customer service requires 48 hours (two business days) to respond to email enquiries. Email replies provided by R&D Reports in response to customer enquiries cannot be used as legal documents or contracts; email replies are provided for educational purposes only.

Emails that are suspected to contain viruses or pose any other security threat will be immediately deleted.

For as long as it is kept in Company databases or archives, any correspondence sent to R&D Reports becomes the sole property of the Company.

Registration

Registration of users is not compulsory to access most areas of this website. However, registered users will be granted access to additional features of the website. The registration page requires users to enter basic information. Registration is not effective unless users accept the Terms of Use, select a user name, and enter and verify a password. In addition, registration allows you to manage your account and the personal information it contains.

Registration User Code

As part of the registration process, you will select a user name (which is an active, personal, email address) and password (collectively referred to as the "User Code"). As a registered user you are responsible for the confidentiality of your user code. You hereby agree that your user code is for your personal use only and you will not provide it to any third party. You are responsible for all acts or omissions that occur while your user code is being used. R&D Reports is not responsible for any breach of security caused by your failure to maintain the confidentiality of your user code. You agree to immediately notify R&D Reports in the event that your user code is lost or stolen, there is a possible or actual unauthorized use of this website or the products, or you believe that the confidentiality of your user code has been compromised in any way. R&D Reports hereby reserves the right to modify or revoke your user code at any time without prior notice.

Fee-based Content

Some products and services on this website may be offered to you conditioned on your payment of fees. If you elect to purchase products and/or services, and transmit to R&D Reports a purchase request, you warrant that all information that you submit is true and accurate (including without limitation your credit card number and expiration date), and you agree to pay all fees you incur.

Pricing of products and services

R&D Reports reserves the right to change prices of its products and services without notice.

Payments

Client acknowledges that payment of the total amount indicated for the information listed in the RD-Reports.com online ordering facility ("Checkout") is due when "Submit Order" is selected on the Checkout page. Client using credit cards will be charged prior to shipment. All charges will appear as "Science-Metrix Inc." on your credit card statement. All payments made to R&D Reports by credit card are made through a third party service. RD-Reports.com does not collect or store any credit card information and cannot be liable for any lost or stolen credit card numbers. R&D Reports is not liable for any monies lost during the transaction process, non-payment issues or declination of any credit card. However, you may be entitled to receive compensations through your credit card company or through Network Solutions LLC which provide the Extended Validation Security Certificate used for this website.

When alternate payment plans have been arranged in advance, payment is due upon receipt of invoice. Due to the nature of goods sold by R&D Reports, no shipment will occur before full and complete payment is received and cleared by Science-Metrix or by the third-party used to process credit card payments, electronic fund transfers, or checks.

Refund Policy

NO REFUNDS will be issued for products or services purchased through the RD-Reports.com website.

Ownership of Content and Intellectual Property Protection

The sum of the contents, information, materials incorporated in the R&D Reports website and in the products and services sold on the website constitutes a "System". This system is based on the use of proprietary data, databases, information, files, and higher–level information such as analyses, commentaries, recommendations, report, research result, and any other data that could be qualified as research-related information. This system also comprises charts, designs, graphs, icons, illustrations, images, logos, multimedia clips, and the selection and arrangement of the contents and information presented, as well as CGI code, CSS code, HTML code, Javascript code, PHP code, interfaces, software, web pages, and generally all the graphics and text contained in the RD-Reports.com website as well as in the reports sold on this website. Finally, the system comprises brochure, documentation, instructions, newsletters, press releases, product descriptions, sales material, tutorials, as well as brand names, company names, product names, trademarks, trade names.

Science-Metrix Inc. owns or has acquired the necessary permissions from content providers or suppliers, for all parts of the System. This System constitutes a proprietary and valuable asset of Science-Metrix Inc. and is protected by copyright laws and international copyright treaties, as well as by other intellectual property laws and treaties. You may not use, distribute, reproduce, transfer, publish, disclose or sell the system or any part thereof except as provided for in these Terms of Use. Except as otherwise provided herein, use of the website does not grant to anyone a license to any content, features or materials you may access on the website, including our trademarks, service marks, other copyrightable material or any other intellectual property. Any commercial use of the website is strictly prohibited, except as allowed herein or otherwise approved by Science-Metrix. If you make other use of the website, except as otherwise provided above, you may violate copyright and other laws of Canada, other countries, and may be subject to liability for such unauthorized use. Any violators will be liable for all costs or other losses incurred by Science-Metrix arising from the use of this System of its constituent parts as well as from any complaint, claims or actions arising directly or indirectly from use.

The use of the System is governed by the doctrine of "fair use" that allows copying in limited circumstances.

That means that you may:

• Use the System or part thereof solely for personal, informational, and internal purposes,
• Print out, copy or email — on an occasional basis — a single story, press release, newsletter or article and send it to a colleague, provided that all copyright and other proprietary notices are retained and remain displayed,
• Reference information contained on the RD-Reports.com website, provided that you credit the cited material to R&D Reports.

This applies to the website but may not apply to the Products and services acquired on this website.

• Alter, remove, or destroy any proprietary markings, or confidentiality legends, or notices placed on, or contained within, the System;
• Permit, allow or do anything that would infringe or otherwise prejudice the proprietary rights of R&D Reports and Science-Metrix or its licensors or allow any third party to access the System.

In addition, no parts of the System may be used to inform, enhance or provide background information for the production of products that compete with products or services from R&D Reports and Science-Metrix Inc.

R&D Reports reserves the right to revoke the authorization to access, view, read, download and print the System, or any part thereof at any time and for any reason, and any such use shall be discontinued immediately without notice from R&D Reports. The rights granted to you herein constitute a license and not a transfer of title.

Disclaimer of Warranties

R&D Reports has used reasonable efforts in collecting, preparing and providing quality information and materials. You acknowledge and agree that inherent in the procurement, compiling, collecting, interpreting, reporting, communicating, delivering and inputting digitally of the Materials, there will be a degree of error which cannot be avoided even with methods of quality control which exceed industry standards.

Consequently, you understand that R&D Reports is providing the website, including, without limitation, all content, functions and materials thereon, "as is". R&D Reports makes no warranty of any kind, either express or implied, regarding the information on this website or received from this website. R&D Reports does not warrant that the website will meet users' requirements. There is no warranty of title, merchantability, fitness for a particular use, availability, freedom from libelous or privacy-invasive content, and non-infringement. R&D Reports does not warrant the quality, accuracy, completeness, timeliness, appropriateness or suitability of the information on the website or of any product or services referenced on the website. Governing Law

The Terms of Use, Privacy Policy and the relationship between you and R&D Reports shall be interpreted and enforced in accordance with the laws of Quebec, Canada, notwithstanding any conflict of laws provisions of your domicile, residence or physical location. Any cause of action that may arise under this Agreement, shall be submitted to the exclusive jurisdiction of the Federal Court of Canada and/or the courts of Quebec.

Regardless of any statute or law to the contrary, you agree that any claim or cause of action arising out of or related to use of the Site, including the Terms of Use, Privacy Policy, and Security Policy, must be filed within one year after such claim or cause of action arose or be forever barred.

The application of the UN Convention on Contracts for the International Sale of Goods, as amended, replaced or re-enacted from time to time, is expressly excluded.

No delay or failure by R&D Reports to exercise or enforce any right or provision of the Terms of Use shall be deemed to constitute a waiver of such right or provision, or any other rights or provision hereunder.

Jurisdiction / Conformance with Law

R&D Reports makes no representation that the website, or the products and services therein, are appropriate or available for use in other jurisdictions. Entire Agreement

This Agreement contains the entire agreement of the parties and supersedes any prior written or oral agreements between them concerning the subject matter contained herein. There are no representations, agreements, arrangements, or understandings, oral or written, between the parties, relating to the subject matter contained in this Agreement, which are not fully expressed herein.

Termination of this Agreement

R&D Reports may terminate this Agreement without notice to you and will do so if you use or attempt to use the website or the Content therein in any manner contrary to the terms of this Agreement. Any such termination by R&D Reports shall be in addition to and without prejudice to such rights and remedies as may be available to R&D Reports.

If for any reason any provision of these terms shall be unlawful, void, or for any reason unenforceable, then that provision will be enforced to the fullest extent permitted by law and the remaining provisions of these Terms of Use will still be valid.

The Ownership of Content and Intellectual Property Protection, Licensing Agreement, Collection and Use of Information about You, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Termination provisions of this Agreement shall survive the termination or expiry of this Agreement.
